GENERAL TERMS AND CONDITIONS

1. General Applicability

These general terms and conditions apply to all quotations, agreements, and transport services executed by Eden Freight BV. By placing an order, the client explicitly accepts these terms, waiving their own general conditions unless a written agreement signed by the management of Eden Freight BV states otherwise.

2. Applicability of the CMR Convention

All national and international road transport operations carried out by Eden Freight BV are strictly subject to the mandatory provisions of the CMR Convention (Convention on the Contract for the International Carriage of Goods by Road), supplemented by these general terms and conditions.

3. Quotations, Tariffs, and Surcharges

All quotations provided by Eden Freight BV are valid for a period of 14 days from the date of issue. Eden Freight BV reserves the right to adjust the agreed tariffs proportionally in the event of proven increases in operational costs occurring after the quotation date, including but not limited to fuel price fluctuations (applicable via a standard fuel escalator clause), new or increased road tolls, or mandatory wage indexations.

4. Demurrage (Waiting Time) and Cancellations

• Waiting Time: A maximum of two (2) hours for loading and two (2) hours for unloading are included in the agreed freight rate. Any additional waiting time caused by the client, the sender, or the receiver will be invoiced at a fixed rate of €50.00 per commenced hour.

• Cancellations: If a transport order is canceled by the client within 24 hours of the scheduled execution time, a cancellation fee equal to 75% of the agreed freight rate will be charged to cover reserved vehicle capacity, planning, and administrative costs.

5. Liability and Force Majeure

Eden Freight BV’s liability for loss, damage, or delay to the cargo is strictly limited to the conditions and maximum limits outlined in the CMR Convention. Eden Freight BV shall under no circumstances be held liable for any indirect, consequential, or economic losses, including but not limited to loss of profit or production standstills. Furthermore, Eden Freight BV is entirely exempt from liability in cases of force majeure, including but not limited to severe weather conditions, labor strikes, sudden border closures, or unforeseeable traffic disruptions.

6. Payment Terms and Default Penalties

All invoices issued by Eden Freight BV are strictly payable within thirty (30) days of the invoice date, without any deduction or discount, directly to the bank account specified on the invoice. In the event of non-payment by the due date, the outstanding amount will automatically, legally, and without prior notice of default, be subject to:

• A late payment interest of 10% per annum, calculated from the due date until the date of full payment.

• A fixed recovery compensation equal to 10% of the total invoice amount, with an absolute minimum of €150.00, to cover administrative and extrajudicial recovery costs.

7. Jurisdiction and Applicable Law

All agreements entered into with Eden Freight BV, as well as these general terms and conditions, are exclusively governed by Belgian law. Any disputes arising from or related to our services, quotations, or invoices shall be submitted exclusively to the competent courts of the judicial district of Leuven.
